SAP Acquires AI Startup to Dominate Enterprise Data Forecasting

In response to the rapid expansion of generative AI, enterprise software leader SAP has executed a pivotal strategic shift. To overcome the limitations of current AI in managing core business operations, SAP has acquired Prior Labs, an 18-month-old German startup, committing approximately €1 billion (roughly $1.16 billion) over four years to establish it as a premier AI lab dedicated to structured data.
Bridging the gap between enterprise data and AI: moving beyond text
While large language models excel at conversation and content generation, they frequently falter when processing critical internal corporate data, including financial reports, HR records, and supply chain databases. The founders of Prior Labs—Frank Hutter, Noah Hollmann, and Sauraj Gambhir—specialize in "table-based models" (TFMs). These models extract logic and generate predictions directly from databases, aligning seamlessly with SAP’s extensive systems for accounting, procurement, and expense management.
Prior Labs’ TabPFN open-source models have already been downloaded over 3 million times by developers. This acquisition allows SAP to secure cutting-edge technology and gain a competitive edge in structured data prediction within the global AI landscape.
Building an ecosystem "moat": restricting unauthorized agent access
As it expands, this European software giant is simultaneously reinforcing its defensive posture. Industry analysts note that SAP recently updated its API policy, explicitly banning unauthorized third-party AI agents (such as OpenClaw) from accessing its product data.
Access is now restricted to architectures bearing "SAP endorsement," including SAP’s own Joule agent and NemoClaw, which is built on NVIDIA technology. By strengthening its partnership with NVIDIA, SAP aims to create a secure, controlled AI ecosystem that delivers enterprise-grade performance.
Strategic response to the "SaaS crisis"
Since 2026, major enterprise software companies have faced significant stock pressure due to the so-called "SaaS doomsday" theory. SAP’s substantial investment underscores its commitment to technological transformation. Company leadership has confirmed that Prior Labs will operate independently to preserve its research agility, while SAP will focus on rapidly commercializing its innovations.
Contrasting with Salesforce’s fully open architecture, SAP has adopted a more conservative, vertical strategy. By combining Prior Labs’ structured data capabilities with the interactive features of the Joule agent, this industry veteran is redefining enterprise software standards in the AI era. The acquisition remains pending final regulatory approval.
